1. Agreement
By creating an account or using ClipPay ("Platform", "we", "us"), you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the Platform.
ClipPay is a marketplace that connects brands with content creators ("clippers") to promote campaigns on supported social platforms and earn based on verified performance.
2. Accounts and eligibility
You must provide accurate registration information and keep your credentials secure. You are responsible for activity under your account. We may suspend or terminate accounts that violate these Terms, applicable law, or platform rules of connected social networks.
Roles on ClipPay include brands (campaign owners), clippers (content submitters), and administrators. Features available to you depend on your role.
3. Connected social accounts
To submit clips and sync performance, clippers may connect third-party accounts (for example YouTube or TikTok) via OAuth. You authorize ClipPay to access only the scopes required for ownership verification and view metrics, as disclosed during the connection flow.
You must only connect accounts you control. Submitting content you do not own, or attempting to manipulate metrics, is prohibited. You may disconnect accounts at any time in Settings; we may revoke tokens when you disconnect.
4. Campaigns and submissions
Brands create campaigns with budgets, platforms, payout rules, and guidelines. Clippers may submit eligible clips while a campaign is active and budget remains available.
Brands may review, approve, or reject submissions according to campaign guidelines and Platform tools. ClipPay may automate certain settlement and payout steps based on configured rules. Campaign parameters (rates, caps, deadlines) control how earnings are calculated.
5. Fees, earnings, and payouts
ClipPay charges a platform commission on applicable campaign spend as disclosed in the product (currently a percentage of settled amounts). Clipper earnings are calculated from campaign payout rules and verified views, subject to minimums, maximums, and budget availability.
Clippers must maintain valid payout methods to request withdrawals. Brands are responsible for funding campaigns and any prepaid commission requirements shown in the product. Currency display (for example ETB) and timing of transfers depend on configured payment rails and may involve third-party processors.
6. Acceptable use
- No fraud, fake engagement, or metric manipulation.
- No content that is illegal, infringing, or violates social platform policies.
- No attempts to bypass ownership checks, security controls, or rate limits.
- No scraping, reverse engineering, or unauthorized access to Platform systems.
7. Intellectual property
ClipPay branding, software, and documentation remain our property. Brands and clippers retain rights in their own content, subject to licenses needed for campaign promotion and Platform operation. You grant ClipPay a limited license to display campaign and clip metadata as required to operate the service.
8. Disclaimers and limitation of liability
The Platform is provided "as is." We do not guarantee uninterrupted service, specific earnings, or that third-party APIs (YouTube, TikTok, payment providers) will remain available unchanged. To the fullest extent permitted by law, ClipPay is not liable for indirect, incidental, or consequential damages arising from use of the Platform.
9. Changes and contact
We may update these Terms by posting a revised version with an updated date. Continued use after changes constitutes acceptance. For questions about these Terms, contact us through the support channels published on the ClipPay website.
